Terms of Service
These Terms govern purchases and services provided by Smooth Sailing Japan.
1. Business-use products and services
Smooth Sailing Japan products and services are designed primarily for businesses, brand owners and professionals evaluating commercial opportunities in Japan.
2. Nature of the Japan Partner Second Opinion
Japan Partner Second Opinion is an independent commercial assessment. It may evaluate company capability, commercial commitments, pricing context, channel evidence, past product persistence, asset continuity and the fit between requested rights and demonstrated capability.
It is not legal advice, contract drafting, an opinion on validity or enforceability, accounting or tax advice, regulatory certification, or a guarantee that a product can lawfully be imported or sold in Japan.
3. Client information
The client is responsible for providing accurate information and the materials reasonably needed to perform the engagement. Conclusions may be limited where evidence is incomplete, unavailable, outdated or not independently verifiable.
4. Payment
Fees are due before the applicable paid product or service is provided. Available payment methods are shown at checkout or on the relevant sales page.
5. Second Opinion delivery and support
The standard Second Opinion is delivered within 5 business days after all required intake information and materials for the relevant candidate have been received. Thirty-day decision support, where included, applies to reasonable follow-up on the same Japanese candidate and the same proposal.
6. No outcome guarantee
Commercial assessments are based on information available at the time of review. Smooth Sailing Japan does not guarantee crowdfunding performance, sales, distribution, regulatory approval, contract outcomes, partner behavior or future market performance.
7. Reports and digital materials
Paid reports, guides, worksheets and toolkits are provided for the purchaser's internal business use unless otherwise agreed. They may not be resold, republished or presented as an endorsement of a third party without permission.
